\n\t\t\t\t\t\t\t\t\tThese Partner Terms (\u201cPartner Terms\u201d) govern participation by independent software Partners, application providers, consultants, consulting firms, implementation partners, service providers, and other businesses or professionals (collectively, \u201cPartners\u201d) that create an account, profile, product or service listing, or otherwise participate as a Partner on the DubSuite marketplace (\u201cPlatform\u201d).

\nThe Platform is operated by DubSuite LLC (\u201cDubSuite,\u201d \u201cwe,\u201d \u201cus,\u201d or \u201cour\u201d).

\nBy registering as a Partner, creating or maintaining a Partner profile or listing, or otherwise participating as a Partner on DubSuite, you agree to these Partner Terms, the DubSuite Terms of Use, and the DubSuite Privacy Statement.\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

DubSuite Marketplace <\/div><\/span>\n\t\t\t\t\t\t\t\n\t\t\t<\/path><\/svg><\/span>\n\t\t\t<\/path><\/svg><\/span>\n\t\t<\/span>\n\n\t\t\t\t\t\t<\/summary>\n\t\t\t\t

\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\tDubSuite is an independent marketplace that enables businesses to discover and connect with third-party applications, software solutions, consultants, consulting firms, implementation providers, and related professional services.

\nDubSuite provides the Platform solely for discovery, listing, inquiry, and connection purposes. DubSuite does not provide, develop, sell, license, implement, support, warrant, or guarantee any Partner product or service unless expressly agreed otherwise in writing.

\nPartners are independent third parties. Each Partner is solely responsible and accountable for its products, services, representations, commitments, performance, conduct, customer relationships, and compliance with applicable laws.

\nDubSuite is not the agent, representative, partner, employer, joint venturer, or other representative of any Partner. DubSuite also does not act as the agent, representative, advisor, or advocate of any customer or prospective customer using the Platform.

\nUnless expressly agreed otherwise in writing, DubSuite is not a party to any agreement, transaction, engagement, or dispute between a Partner and a customer. The discovery of or connection between a Partner and customer through DubSuite does not create any responsibility or liability on the part of DubSuite for the acts, omissions, products, services, representations, or obligations of either party.\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/details>\n\t\t\t\t\t\t

Partner Eligibility and Authority <\/div><\/span>\n\t\t\t\t\t\t\t\n\t\t\t<\/path><\/svg><\/span>\n\t\t\t<\/path><\/svg><\/span>\n\t\t<\/span>\n\n\t\t\t\t\t\t<\/summary>\n\t\t\t\t
\n\t\t\t\t
\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\tBy registering as a Partner, you represent and warrant that:

\n
    \n \t
  • you have the legal capacity and authority to enter into these Partner Terms;<\/li>\n \t
  • if registering on behalf of a company or organization, you are authorized to represent and bind that organization;<\/li>\n \t
  • all information provided to DubSuite is accurate, complete, and current;<\/li>\n \t
  • you possess all licenses, qualifications, permissions, intellectual property rights, and other authority necessary to offer and promote the products or services you list; and<\/li>\n \t
  • your participation in DubSuite does not violate applicable law or any contractual obligation applicable to you.<\/li>\n<\/ul>
    \nDubSuite may request information reasonably necessary to verify a Partner\u2019s identity, organization, authority, qualifications, or eligibility.\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/details>\n\t\t\t\t\t\t
    \n\t\t\t\t\n\t\t\t\t\t
    Partner Accounts <\/div><\/span>\n\t\t\t\t\t\t\t\n\t\t\t<\/path><\/svg><\/span>\n\t\t\t<\/path><\/svg><\/span>\n\t\t<\/span>\n\n\t\t\t\t\t\t<\/summary>\n\t\t\t\t
    \n\t\t\t\t
    \n\t\t\t\t
    \n\t\t\t\t\t\t\t\t\tPartners are responsible for maintaining accurate account information and safeguarding their account credentials.

    \nPartners are responsible for all activity conducted through their Partner accounts and must promptly notify DubSuite if they become aware of unauthorized access or suspected misuse.

    \nDubSuite may restrict access to an account where reasonably necessary to protect the Platform, customers, Partners, DubSuite, or third parties.\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/details>\n\t\t\t\t\t\t
    \n\t\t\t\t\n\t\t\t\t\t
    Partner Profiles and Listings <\/div><\/span>\n\t\t\t\t\t\t\t\n\t\t\t<\/path><\/svg><\/span>\n\t\t\t<\/path><\/svg><\/span>\n\t\t<\/span>\n\n\t\t\t\t\t\t<\/summary>\n\t\t\t\t
    \n\t\t\t\t
    \n\t\t\t\t
    \n\t\t\t\t\t\t\t\t\tPartners may submit company information, professional profiles, applications, products, services, descriptions, logos, trademarks, images, videos, pricing information, capabilities, qualifications, certifications, and other materials (\u201cPartner Content\u201d).\n

    \nPartners are solely responsible for ensuring that Partner Content:\n

      \n \t
    • is truthful, accurate, complete, and current;<\/li>\n \t
    • is not false, deceptive, or misleading;<\/li>\n \t
    • accurately represents the products or services offered;<\/li>\n \t
    • does not infringe the intellectual property, privacy, publicity, or other rights of any third party;<\/li>\n \t
    • is legally permitted to be published and used by DubSuite; and<\/li>\n \t
    • complies with applicable law, these Partner Terms, and applicable DubSuite marketplace requirements.<\/li>\n<\/ul>
      \nPartners must promptly update materially inaccurate or outdated information.\n

      \nDubSuite does not independently verify or guarantee the accuracy, completeness, quality, performance, or reliability of Partner Content or the products and services described in Partner listings.\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/details>\n\t\t\t\t\t\t
      \n\t\t\t\t\n\t\t\t\t\t
      Listing Review, Approval, and Removal <\/div><\/span>\n\t\t\t\t\t\t\t\n\t\t\t<\/path><\/svg><\/span>\n\t\t\t<\/path><\/svg><\/span>\n\t\t<\/span>\n\n\t\t\t\t\t\t<\/summary>\n\t\t\t\t
      \n\t\t\t\t
      \n\t\t\t\t
      \n\t\t\t\t\t\t\t\t\tSubmission of a Partner profile, product, application, or service does not guarantee publication or continued listing on DubSuite.\n

      \nDubSuite may review Partner profiles and listings and may:

      \n
        \n \t
      • approve or reject a listing;<\/li>\n \t
      • request additional information or revisions;<\/li>\n \t
      • edit formatting or presentation without materially changing the Partner\u2019s representations;<\/li>\n \t
      • categorize or recategorize listings;<\/li>\n \t
      • decline to publish content;<\/li>\n \t
      • temporarily suspend a listing; or<\/li>\n \t
      • remove a listing from the Platform.<\/li>\n<\/ul>
        \nDubSuite may take such action where content is inaccurate, misleading, outdated, unlawful, inappropriate, inconsistent with marketplace standards, or otherwise violates these Partner Terms.\n

        \nDubSuite may establish and update listing standards, categories, required information, and marketplace guidelines as the Platform evolves.\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/details>\n\t\t\t\t\t\t
        \n\t\t\t\t\n\t\t\t\t\t
        Free Listing Requirements <\/div><\/span>\n\t\t\t\t\t\t\t\n\t\t\t<\/path><\/svg><\/span>\n\t\t\t<\/path><\/svg><\/span>\n\t\t<\/span>\n\n\t\t\t\t\t\t<\/summary>\n\t\t\t\t
        \n\t\t\t\t
        \n\t\t\t\t
        \n\t\t\t\t\t\t\t\t\tWhere a Partner participates in DubSuite under a free-listing arrangement, the Partner agrees to the following requirements.\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/details>\n\t\t\t\t\t\t
        \n\t\t\t\t\n\t\t\t\t\t
        Marketplace Promotion <\/div><\/span>\n\t\t\t\t\t\t\t\n\t\t\t<\/path><\/svg><\/span>\n\t\t\t<\/path><\/svg><\/span>\n\t\t<\/span>\n\n\t\t\t\t\t\t<\/summary>\n\t\t\t\t
        \n\t\t\t\t
        \n\t\t\t\t
        \n\t\t\t\t\t\t\t\t\tAs a condition of maintaining a free listing on DubSuite, the Partner is required to publicly share or announce its DubSuite listing through at least one appropriate business or social media channel within three (3) business days after DubSuite confirms that the Partner\u2019s listing is publicly live. The announcement must include a link to the Partner\u2019s DubSuite listing.

        \nThe Partner must not announce the listing before DubSuite confirms that the listing is ready for public promotion.

        \nDubSuite may provide the Partner with a Social Media Sharing Toolkit, suggested copy, graphics, badges, or other promotional materials to make this requirement easier to fulfill. Partners may customize the content to reflect their own brand and messaging, provided the announcement clearly communicates that the Partner and\/or its applicable products or services are listed on DubSuite.

        \nCompliance with this marketplace promotion requirement is a condition of the Partner\u2019s free listing. If the Partner does not complete the required announcement within the specified period, DubSuite may suspend, unpublish, disable, or remove the Partner\u2019s listing from the Platform until the requirement is satisfied. Continued or repeated non-compliance may result in termination of the Partner\u2019s free listing.\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/details>\n\t\t\t\t\t\t
        \n\t\t\t\t\n\t\t\t\t\t
        DubSuite Customer Discount <\/div><\/span>\n\t\t\t\t\t\t\t\n\t\t\t<\/path><\/svg><\/span>\n\t\t\t<\/path><\/svg><\/span>\n\t\t<\/span>\n\n\t\t\t\t\t\t<\/summary>\n\t\t\t\t
        \n\t\t\t\t
        \n\t\t\t\t
        \n\t\t\t\t\t\t\t\t\tThe Partner will provide customers referred through DubSuite with a discount of at least ten percent (10%) on applicable products or services.

        \nWhere the Partner publicly states or publishes pricing for the applicable product or service, the price offered to the DubSuite-referred customer must be lower than the Partner\u2019s publicly stated price.\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/details>\n\t\t\t\t\t\t
        \n\t\t\t\t\n\t\t\t\t\t
        DubSuite Customer Contact Process <\/div><\/span>\n\t\t\t\t\t\t\t\n\t\t\t<\/path><\/svg><\/span>\n\t\t\t<\/path><\/svg><\/span>\n\t\t<\/span>\n\n\t\t\t\t\t\t<\/summary>\n\t\t\t\t
        \n\t\t\t\t
        \n\t\t\t\t
        \n\t\t\t\t\t\t\t\t\tThe Partner must not include information in its DubSuite listing that intentionally encourages prospective customers to bypass DubSuite\u2019s customer inquiry or contact process.\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/details>\n\t\t\t\t\t\t
        \n\t\t\t\t\n\t\t\t\t\t
        Alternative Listing Fee <\/div><\/span>\n\t\t\t\t\t\t\t\n\t\t\t<\/path><\/svg><\/span>\n\t\t\t<\/path><\/svg><\/span>\n\t\t<\/span>\n\n\t\t\t\t\t\t<\/summary>\n\t\t\t\t
        \n\t\t\t\t
        \n\t\t\t\t
        \n\t\t\t\t\t\t\t\t\tIf a Partner does not participate under or comply with the applicable free-listing requirements, DubSuite may require the Partner to participate under a paid arrangement.

        \nUnless otherwise agreed in writing, the applicable fee will be thirty percent (30%) of the Partner\u2019s product price or US$2,000, whichever is greater, payable quarterly.

        \nAny alternative or additional commercial arrangement agreed between DubSuite and the Partner will apply according to its applicable terms.\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/details>\n\t\t\t\t\t\t
        \n\t\t\t\t\n\t\t\t\t\t
        Customer Inquiries and Leads <\/div><\/span>\n\t\t\t\t\t\t\t\n\t\t\t<\/path><\/svg><\/span>\n\t\t\t<\/path><\/svg><\/span>\n\t\t<\/span>\n\n\t\t\t\t\t\t<\/summary>\n\t\t\t\t
        \n\t\t\t\t
        \n\t\t\t\t
        \n\t\t\t\t\t\t\t\t\tDubSuite will make customer inquiry information available to the applicable Partner through the Platform or other designated communication method as reasonably practicable after the inquiry is received.\n

        \nPartners agree to follow up on customer inquiries received through DubSuite within one (1) business day.\n

        \nPartners may use customer information received through DubSuite only for legitimate purposes related to the customer\u2019s inquiry or as otherwise authorized by the customer.\n

        \nPartners must not sell, improperly disclose, misuse, or unlawfully process customer information.\n

        \nDubSuite does not guarantee the number, quality, authenticity, value, or conversion of customer inquiries or leads.\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/details>\n\t\t\t\t\t\t
        \n\t\t\t\t\n\t\t\t\t\t
        Partner Products and Services <\/div><\/span>\n\t\t\t\t\t\t\t\n\t\t\t<\/path><\/svg><\/span>\n\t\t\t<\/path><\/svg><\/span>\n\t\t<\/span>\n\n\t\t\t\t\t\t<\/summary>\n\t\t\t\t
        \n\t\t\t\t
        \n\t\t\t\t
        \n\t\t\t\t\t\t\t\t\tPartners are solely responsible and accountable for their applications, software, products, consulting services, implementation services, professional services, and other offerings.\n

        \nPartners represent that their products and services will materially perform and be delivered as represented to customers.\n

        \nThe Partner is solely responsible for:

        \n
          \n \t
        • product functionality and performance;<\/li>\n \t
        • accuracy of product and service descriptions;<\/li>\n \t
        • implementation and service delivery;<\/li>\n \t
        • security and privacy;<\/li>\n \t
        • documentation;<\/li>\n \t
        • customer support;<\/li>\n \t
        • warranties and representations;<\/li>\n \t
        • compliance with applicable laws and regulations;<\/li>\n \t
        • pricing and commercial terms;<\/li>\n \t
        • billing and collection;<\/li>\n \t
        • taxes; and<\/li>\n \t
        • customer complaints, claims, refunds, remedies, damages, and disputes.<\/li>\n<\/ul>
          \nIf a Partner\u2019s product or service materially fails to perform as represented and the Partner is unable to remedy the failure within a reasonable period, the Partner will provide the affected customer with a full refund of amounts paid for the applicable product or service.\n

          \nA listing on DubSuite does not constitute certification, endorsement, recommendation, warranty, or guarantee by DubSuite of the Partner or its products or services.\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/details>\n\t\t\t\t\t\t
          \n\t\t\t\t\n\t\t\t\t\t
          Customer Relationships and Disputes <\/div><\/span>\n\t\t\t\t\t\t\t\n\t\t\t<\/path><\/svg><\/span>\n\t\t\t<\/path><\/svg><\/span>\n\t\t<\/span>\n\n\t\t\t\t\t\t<\/summary>\n\t\t\t\t
          \n\t\t\t\t
          \n\t\t\t\t
          \n\t\t\t\t\t\t\t\t\tAny purchase, subscription, license, consulting engagement, implementation, statement of work, or other commercial arrangement resulting from a connection made through DubSuite is entered into solely between the Partner and the customer, unless expressly stated otherwise in writing by DubSuite.\n

          \nThe Partner is solely responsible and accountable for:

          \n
            \n \t
          • evaluating and accepting customers;<\/li>\n \t
          • establishing its customer agreements;<\/li>\n \t
          • pricing and commercial terms;<\/li>\n \t
          • representations and commitments made to customers;<\/li>\n \t
          • product functionality and performance;<\/li>\n \t
          • implementation and service delivery;<\/li>\n \t
          • warranties and service levels;<\/li>\n \t
          • customer support;<\/li>\n \t
          • billing and collection;<\/li>\n \t
          • refunds and remedies;<\/li>\n \t
          • privacy and security obligations relating to its products and services; and<\/li>\n \t
          • customer complaints, claims, losses, damages, and disputes arising from the Partner\u2019s products, services, acts, or omissions.<\/li>\n<\/ul>
            \nDubSuite does not represent the Partner or the customer and has no authority or obligation to negotiate, administer, enforce, perform, or resolve any agreement between them.\n

            \nThe Partner is solely responsible for resolving claims or disputes arising from or relating to its products, services, representations, commitments, acts, or omissions directly with the applicable customer.\n

            \nTo the fullest extent permitted by applicable law, DubSuite will not be responsible or liable for the acts, omissions, representations, products, services, performance, non-performance, misconduct, negligence, breach, or other conduct of a Partner.\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/details>\n\t\t\t\t\t\t
            \n\t\t\t\t\n\t\t\t\t\t
            Customer Data and Confidentiality <\/div><\/span>\n\t\t\t\t\t\t\t\n\t\t\t<\/path><\/svg><\/span>\n\t\t\t<\/path><\/svg><\/span>\n\t\t<\/span>\n\n\t\t\t\t\t\t<\/summary>\n\t\t\t\t
            \n\t\t\t\t
            \n\t\t\t\t
            \n\t\t\t\t\t\t\t\t\tPartners must protect Personal Information, confidential information, proprietary information, and other non-public customer information received through DubSuite or obtained in connection with their products or services.\n

            \nPartners must:

            \n
              \n \t
            • use customer information only for legitimate and authorized purposes;<\/li>\n \t
            • maintain reasonable administrative, technical, and organizational safeguards;<\/li>\n \t
            • limit access to individuals who reasonably require the information;<\/li>\n \t
            • maintain the confidentiality of non-public customer information;<\/li>\n \t
            • comply with applicable privacy and data-protection requirements;<\/li>\n \t
            • not sell or improperly disclose customer information; and<\/li>\n \t
            • appropriately address unauthorized access, use, or disclosure for which the Partner is responsible.<\/li>\n<\/ul>
              \nA Partner must not export, transfer, or otherwise move customer data outside the customer\u2019s NetSuite environment or other originating system without the customer\u2019s authorization where such authorization is required.\n

              \nWhere a Partner\u2019s application or service accesses, processes, stores, transfers, or exports customer information outside the customer\u2019s originating environment, the Partner is solely responsible for clearly informing the customer and obtaining any authorization or consent required by applicable law or the Partner\u2019s agreement with the customer.\n

              \nDubSuite is not responsible for a Partner\u2019s collection, use, storage, transfer, disclosure, loss, or security of customer information once that information is under the Partner\u2019s control.\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/details>\n\t\t\t\t\t\t
              \n\t\t\t\t\n\t\t\t\t\t
              Partner Content and Intellectual Property <\/div><\/span>\n\t\t\t\t\t\t\t\n\t\t\t<\/path><\/svg><\/span>\n\t\t\t<\/path><\/svg><\/span>\n\t\t<\/span>\n\n\t\t\t\t\t\t<\/summary>\n\t\t\t\t
              \n\t\t\t\t
              \n\t\t\t\t
              \n\t\t\t\t\t\t\t\t\tPartners retain ownership of their intellectual property and Partner Content.\n

              \nBy submitting Partner Content to DubSuite, the Partner grants DubSuite a non-exclusive, worldwide, royalty-free license to host, reproduce, display, format, distribute, and otherwise use the Partner Content as reasonably necessary to:

              \n
                \n \t
              • operate the Platform;<\/li>\n \t
              • display Partner profiles and listings;<\/li>\n \t
              • enable marketplace search and discovery;<\/li>\n \t
              • promote Partner listings;<\/li>\n \t
              • communicate information about available products and services; and<\/li>\n \t
              • market and promote DubSuite and its marketplace.<\/li>\n<\/ul>
                \nThe Partner represents and warrants that it possesses all rights necessary to grant this license.\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/details>\n\t\t\t\t\t\t
                \n\t\t\t\t\n\t\t\t\t\t
                Partner Names, Logos, and Trademarks <\/div><\/span>\n\t\t\t\t\t\t\t\n\t\t\t<\/path><\/svg><\/span>\n\t\t\t<\/path><\/svg><\/span>\n\t\t<\/span>\n\n\t\t\t\t\t\t<\/summary>\n\t\t\t\t
                \n\t\t\t\t
                \n\t\t\t\t
                \n\t\t\t\t\t\t\t\t\tPartners authorize DubSuite to display their business names, product names, logos, trademarks, screenshots, descriptions, and other submitted brand materials in connection with their profiles, listings, marketplace search results, and reasonable promotion of DubSuite.

                \nOwnership of such intellectual property remains with the applicable Partner.

                \nPartners may state that they are \u201cListed on DubSuite\u201d but may not represent or imply that DubSuite has certified, endorsed, sponsored, guaranteed, or formally partnered with the Partner or its products or services unless expressly authorized by DubSuite.\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/details>\n\t\t\t\t\t\t

                Partners must not:<\/p>

                • submit false, fraudulent, deceptive, or misleading information;<\/li>
                • impersonate another person or organization;<\/li>
                • list products or services they are not authorized to offer;<\/li>
                • infringe intellectual property, privacy, or other third-party rights;<\/li>
                • upload malicious software or attempt to compromise the Platform;<\/li>
                • manipulate marketplace search, rankings, reviews, or functionality;<\/li>
                • misuse customer information;<\/li>
                • spam, harass, or improperly solicit Platform users;<\/li>
                • intentionally circumvent DubSuite\u2019s customer inquiry process through listing content;<\/li>
                • interfere with the operation or security of the Platform; or<\/li>
                • use DubSuite for fraudulent, unlawful, or abusive purposes.<\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/details>\n\t\t\t\t\t\t

                  Compliance with Laws <\/div><\/span>\n\t\t\t\t\t\t\t\n\t\t\t<\/path><\/svg><\/span>\n\t\t\t<\/path><\/svg><\/span>\n\t\t<\/span>\n\n\t\t\t\t\t\t<\/summary>\n\t\t\t\t

                  \n\t\t\t\t\t\t\t\t\tPartners are solely responsible for complying with applicable laws and regulations relating to their businesses, products, services, customer relationships, privacy practices, marketing activities, and use of DubSuite.

                  \nPartners are responsible for obtaining and maintaining any licenses, permits, certifications, authorizations, or registrations required to provide their products or services.

                  \nDubSuite\u2019s acceptance or publication of a Partner listing does not constitute confirmation that the Partner or its products or services comply with applicable laws, regulations, standards, or industry requirements.\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/details>\n\t\t\t\t\t\t

                  Independent Relationship <\/div><\/span>\n\t\t\t\t\t\t\t\n\t\t\t<\/path><\/svg><\/span>\n\t\t\t<\/path><\/svg><\/span>\n\t\t<\/span>\n\n\t\t\t\t\t\t<\/summary>\n\t\t\t\t

                  \n\t\t\t\t
                  \n\t\t\t\t\t\t\t\t\tPartners participate in DubSuite as independent businesses or professionals.\n

                  \nNothing in these Partner Terms creates an employment, partnership, joint venture, franchise, agency, fiduciary, or other similar relationship between DubSuite and a Partner.\n

                  \nPartners have no authority to make representations, commitments, warranties, or obligations on behalf of DubSuite.\n

                  \nDubSuite likewise does not act as an agent, representative, advisor, or advocate of any customer and does not owe a Partner any obligation arising from a customer\u2019s conduct, decisions, representations, or failure to proceed with a transaction.\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/details>\n\t\t\t\t\t\t

                  \n\t\t\t\t
                  \n\t\t\t\t\t\t\t\t\tDubSuite does not guarantee that participation in the Platform will result in customer inquiries, sales, engagements, revenue, marketplace visibility, search placement, or any other business outcome.\n

                  \nDubSuite does not guarantee that any customer inquiry will be genuine, qualified, complete, accurate, or result in a transaction.\n

                  \nMarketplace presentation, categories, search results, featured content, functionality, and placement may change as DubSuite develops and improves the Platform.\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/details>\n\t\t\t\t\t\t

                  Suspension and Termination <\/div><\/span>\n\t\t\t\t\t\t\t\n\t\t\t<\/path><\/svg><\/span>\n\t\t\t<\/path><\/svg><\/span>\n\t\t<\/span>\n\n\t\t\t\t\t\t<\/summary>\n\t\t\t\t

                  \n\t\t\t\t
                  \n\t\t\t\t\t\t\t\t\tDubSuite may restrict, suspend, or terminate a Partner account or remove Partner Content where the Partner:

                  \n
                    \n \t
                  • violates these Partner Terms;<\/li>\n \t
                  • fails to satisfy applicable listing requirements, including the marketplace promotion requirements under Section 6.1;<\/li>\n \t
                  • provides materially inaccurate or misleading information;<\/li>\n \t
                  • engages in fraudulent, unlawful, abusive, or harmful conduct;<\/li>\n \t
                  • infringes third-party rights;<\/li>\n \t
                  • misuses customer information;<\/li>\n \t
                  • creates a material security, privacy, legal, or reputational risk;<\/li>\n \t
                  • receives substantiated complaints indicating serious misconduct; or<\/li>\n \t
                  • otherwise materially compromises the integrity of the marketplace.<\/li>\n<\/ul>
                    \nWhere reasonably practicable, DubSuite may provide the Partner an opportunity to correct an issue before suspension or removal.\n

                    \nDubSuite may take immediate action where reasonably necessary to protect customers, Partners, the Platform, DubSuite, or third parties.\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/details>\n\t\t\t\t\t\t
