PARTNER TERMS

These Partner Terms (“Partner Terms”) govern participation by independent software Partners, application providers, consultants, consulting firms, implementation partners, service providers, and other businesses or professionals (collectively, “Partners”) that create an account, profile, product or service listing, or otherwise participate as a Partner on the DubSuite marketplace (“Platform”).

The Platform is operated by DubSuite LLC (“DubSuite,” “we,” “us,” or “our”).

By registering as a Partner, creating or maintaining a Partner profile or listing, or otherwise participating as a Partner on DubSuite, you agree to these Partner Terms, the DubSuite Terms of Use, and the DubSuite Privacy Statement.
DubSuite Marketplace
DubSuite is an independent marketplace that enables businesses to discover and connect with third-party applications, software solutions, consultants, consulting firms, implementation providers, and related professional services.

DubSuite provides the Platform solely for discovery, listing, inquiry, and connection purposes. DubSuite does not provide, develop, sell, license, implement, support, warrant, or guarantee any Partner product or service unless expressly agreed otherwise in writing.

Partners are independent third parties. Each Partner is solely responsible and accountable for its products, services, representations, commitments, performance, conduct, customer relationships, and compliance with applicable laws.

DubSuite is not the agent, representative, partner, employer, joint venturer, or other representative of any Partner. DubSuite also does not act as the agent, representative, advisor, or advocate of any customer or prospective customer using the Platform.

Unless expressly agreed otherwise in writing, DubSuite is not a party to any agreement, transaction, engagement, or dispute between a Partner and a customer. The discovery of or connection between a Partner and customer through DubSuite does not create any responsibility or liability on the part of DubSuite for the acts, omissions, products, services, representations, or obligations of either party.
By registering as a Partner, you represent and warrant that:

  • you have the legal capacity and authority to enter into these Partner Terms;
  • if registering on behalf of a company or organization, you are authorized to represent and bind that organization;
  • all information provided to DubSuite is accurate, complete, and current;
  • you possess all licenses, qualifications, permissions, intellectual property rights, and other authority necessary to offer and promote the products or services you list; and
  • your participation in DubSuite does not violate applicable law or any contractual obligation applicable to you.

DubSuite may request information reasonably necessary to verify a Partner’s identity, organization, authority, qualifications, or eligibility.
Partners are responsible for maintaining accurate account information and safeguarding their account credentials.

Partners are responsible for all activity conducted through their Partner accounts and must promptly notify DubSuite if they become aware of unauthorized access or suspected misuse.

DubSuite may restrict access to an account where reasonably necessary to protect the Platform, customers, Partners, DubSuite, or third parties.
Partners may submit company information, professional profiles, applications, products, services, descriptions, logos, trademarks, images, videos, pricing information, capabilities, qualifications, certifications, and other materials (“Partner Content”).

Partners are solely responsible for ensuring that Partner Content:

  • is truthful, accurate, complete, and current;
  • is not false, deceptive, or misleading;
  • accurately represents the products or services offered;
  • does not infringe the intellectual property, privacy, publicity, or other rights of any third party;
  • is legally permitted to be published and used by DubSuite; and
  • complies with applicable law, these Partner Terms, and applicable DubSuite marketplace requirements.

Partners must promptly update materially inaccurate or outdated information.

DubSuite does not independently verify or guarantee the accuracy, completeness, quality, performance, or reliability of Partner Content or the products and services described in Partner listings.
Submission of a Partner profile, product, application, or service does not guarantee publication or continued listing on DubSuite.

DubSuite may review Partner profiles and listings and may:

  • approve or reject a listing;
  • request additional information or revisions;
  • edit formatting or presentation without materially changing the Partner’s representations;
  • categorize or recategorize listings;
  • decline to publish content;
  • temporarily suspend a listing; or
  • remove a listing from the Platform.

DubSuite may take such action where content is inaccurate, misleading, outdated, unlawful, inappropriate, inconsistent with marketplace standards, or otherwise violates these Partner Terms.

DubSuite may establish and update listing standards, categories, required information, and marketplace guidelines as the Platform evolves.
Where a Partner participates in DubSuite under a free-listing arrangement, the Partner agrees to the following requirements.
As a condition of maintaining a free listing on DubSuite, the Partner is required to publicly share or announce its DubSuite listing through at least one appropriate business or social media channel within three (3) business days after DubSuite confirms that the Partner’s listing is publicly live. The announcement must include a link to the Partner’s DubSuite listing.

The Partner must not announce the listing before DubSuite confirms that the listing is ready for public promotion.

DubSuite may provide the Partner with a Social Media Sharing Toolkit, suggested copy, graphics, badges, or other promotional materials to make this requirement easier to fulfill. Partners may customize the content to reflect their own brand and messaging, provided the announcement clearly communicates that the Partner and/or its applicable products or services are listed on DubSuite.

Compliance with this marketplace promotion requirement is a condition of the Partner’s free listing. If the Partner does not complete the required announcement within the specified period, DubSuite may suspend, unpublish, disable, or remove the Partner’s listing from the Platform until the requirement is satisfied. Continued or repeated non-compliance may result in termination of the Partner’s free listing.
The Partner will provide customers referred through DubSuite with a discount of at least ten percent (10%) on applicable products or services.

Where the Partner publicly states or publishes pricing for the applicable product or service, the price offered to the DubSuite-referred customer must be lower than the Partner’s publicly stated price.
The Partner must not include information in its DubSuite listing that intentionally encourages prospective customers to bypass DubSuite’s customer inquiry or contact process.
If a Partner does not participate under or comply with the applicable free-listing requirements, DubSuite may require the Partner to participate under a paid arrangement.

Unless otherwise agreed in writing, the applicable fee will be thirty percent (30%) of the Partner’s product price or US$2,000, whichever is greater, payable quarterly.

Any alternative or additional commercial arrangement agreed between DubSuite and the Partner will apply according to its applicable terms.
DubSuite will make customer inquiry information available to the applicable Partner through the Platform or other designated communication method as reasonably practicable after the inquiry is received.

Partners agree to follow up on customer inquiries received through DubSuite within one (1) business day.

Partners may use customer information received through DubSuite only for legitimate purposes related to the customer’s inquiry or as otherwise authorized by the customer.

Partners must not sell, improperly disclose, misuse, or unlawfully process customer information.

DubSuite does not guarantee the number, quality, authenticity, value, or conversion of customer inquiries or leads.
Partners are solely responsible and accountable for their applications, software, products, consulting services, implementation services, professional services, and other offerings.

Partners represent that their products and services will materially perform and be delivered as represented to customers.

The Partner is solely responsible for:

  • product functionality and performance;
  • accuracy of product and service descriptions;
  • implementation and service delivery;
  • security and privacy;
  • documentation;
  • customer support;
  • warranties and representations;
  • compliance with applicable laws and regulations;
  • pricing and commercial terms;
  • billing and collection;
  • taxes; and
  • customer complaints, claims, refunds, remedies, damages, and disputes.

If a Partner’s product or service materially fails to perform as represented and the Partner is unable to remedy the failure within a reasonable period, the Partner will provide the affected customer with a full refund of amounts paid for the applicable product or service.

A listing on DubSuite does not constitute certification, endorsement, recommendation, warranty, or guarantee by DubSuite of the Partner or its products or services.
Any purchase, subscription, license, consulting engagement, implementation, statement of work, or other commercial arrangement resulting from a connection made through DubSuite is entered into solely between the Partner and the customer, unless expressly stated otherwise in writing by DubSuite.

The Partner is solely responsible and accountable for:

  • evaluating and accepting customers;
  • establishing its customer agreements;
  • pricing and commercial terms;
  • representations and commitments made to customers;
  • product functionality and performance;
  • implementation and service delivery;
  • warranties and service levels;
  • customer support;
  • billing and collection;
  • refunds and remedies;
  • privacy and security obligations relating to its products and services; and
  • customer complaints, claims, losses, damages, and disputes arising from the Partner’s products, services, acts, or omissions.

DubSuite does not represent the Partner or the customer and has no authority or obligation to negotiate, administer, enforce, perform, or resolve any agreement between them.

The Partner is solely responsible for resolving claims or disputes arising from or relating to its products, services, representations, commitments, acts, or omissions directly with the applicable customer.

To the fullest extent permitted by applicable law, DubSuite will not be responsible or liable for the acts, omissions, representations, products, services, performance, non-performance, misconduct, negligence, breach, or other conduct of a Partner.
Partners must protect Personal Information, confidential information, proprietary information, and other non-public customer information received through DubSuite or obtained in connection with their products or services.

Partners must:

  • use customer information only for legitimate and authorized purposes;
  • maintain reasonable administrative, technical, and organizational safeguards;
  • limit access to individuals who reasonably require the information;
  • maintain the confidentiality of non-public customer information;
  • comply with applicable privacy and data-protection requirements;
  • not sell or improperly disclose customer information; and
  • appropriately address unauthorized access, use, or disclosure for which the Partner is responsible.

A Partner must not export, transfer, or otherwise move customer data outside the customer’s NetSuite environment or other originating system without the customer’s authorization where such authorization is required.

Where a Partner’s application or service accesses, processes, stores, transfers, or exports customer information outside the customer’s originating environment, the Partner is solely responsible for clearly informing the customer and obtaining any authorization or consent required by applicable law or the Partner’s agreement with the customer.

DubSuite is not responsible for a Partner’s collection, use, storage, transfer, disclosure, loss, or security of customer information once that information is under the Partner’s control.
Partners retain ownership of their intellectual property and Partner Content.

By submitting Partner Content to DubSuite, the Partner grants DubSuite a non-exclusive, worldwide, royalty-free license to host, reproduce, display, format, distribute, and otherwise use the Partner Content as reasonably necessary to:

  • operate the Platform;
  • display Partner profiles and listings;
  • enable marketplace search and discovery;
  • promote Partner listings;
  • communicate information about available products and services; and
  • market and promote DubSuite and its marketplace.

The Partner represents and warrants that it possesses all rights necessary to grant this license.
Partners authorize DubSuite to display their business names, product names, logos, trademarks, screenshots, descriptions, and other submitted brand materials in connection with their profiles, listings, marketplace search results, and reasonable promotion of DubSuite.

Ownership of such intellectual property remains with the applicable Partner.

Partners may state that they are “Listed on DubSuite” but may not represent or imply that DubSuite has certified, endorsed, sponsored, guaranteed, or formally partnered with the Partner or its products or services unless expressly authorized by DubSuite.

Partners must not:

  • submit false, fraudulent, deceptive, or misleading information;
  • impersonate another person or organization;
  • list products or services they are not authorized to offer;
  • infringe intellectual property, privacy, or other third-party rights;
  • upload malicious software or attempt to compromise the Platform;
  • manipulate marketplace search, rankings, reviews, or functionality;
  • misuse customer information;
  • spam, harass, or improperly solicit Platform users;
  • intentionally circumvent DubSuite’s customer inquiry process through listing content;
  • interfere with the operation or security of the Platform; or
  • use DubSuite for fraudulent, unlawful, or abusive purposes.
Partners are solely responsible for complying with applicable laws and regulations relating to their businesses, products, services, customer relationships, privacy practices, marketing activities, and use of DubSuite.

Partners are responsible for obtaining and maintaining any licenses, permits, certifications, authorizations, or registrations required to provide their products or services.

DubSuite’s acceptance or publication of a Partner listing does not constitute confirmation that the Partner or its products or services comply with applicable laws, regulations, standards, or industry requirements.
Partners participate in DubSuite as independent businesses or professionals.

Nothing in these Partner Terms creates an employment, partnership, joint venture, franchise, agency, fiduciary, or other similar relationship between DubSuite and a Partner.

Partners have no authority to make representations, commitments, warranties, or obligations on behalf of DubSuite.

DubSuite likewise does not act as an agent, representative, advisor, or advocate of any customer and does not owe a Partner any obligation arising from a customer’s conduct, decisions, representations, or failure to proceed with a transaction.
DubSuite does not guarantee that participation in the Platform will result in customer inquiries, sales, engagements, revenue, marketplace visibility, search placement, or any other business outcome.

DubSuite does not guarantee that any customer inquiry will be genuine, qualified, complete, accurate, or result in a transaction.

Marketplace presentation, categories, search results, featured content, functionality, and placement may change as DubSuite develops and improves the Platform.
DubSuite may restrict, suspend, or terminate a Partner account or remove Partner Content where the Partner:

  • violates these Partner Terms;
  • fails to satisfy applicable listing requirements, including the marketplace promotion requirements under Section 6.1;
  • provides materially inaccurate or misleading information;
  • engages in fraudulent, unlawful, abusive, or harmful conduct;
  • infringes third-party rights;
  • misuses customer information;
  • creates a material security, privacy, legal, or reputational risk;
  • receives substantiated complaints indicating serious misconduct; or
  • otherwise materially compromises the integrity of the marketplace.

Where reasonably practicable, DubSuite may provide the Partner an opportunity to correct an issue before suspension or removal.

DubSuite may take immediate action where reasonably necessary to protect customers, Partners, the Platform, DubSuite, or third parties.
To the fullest extent permitted by applicable law, the Partner agrees to defend, indemnify, and hold harmless DubSuite LLC and its affiliates, officers, directors, employees, representatives, and agents from and against third-party claims, liabilities, damages, losses, judgments, and reasonable costs and expenses arising from or relating to:

  • the Partner’s products or services;
  • Partner Content;
  • the Partner’s acts or omissions;
  • representations, warranties, or commitments made by the Partner;
  • the Partner’s dealings or disputes with customers;
  • damage or loss caused by the Partner’s products or services;
  • the Partner’s collection, use, disclosure, storage, transfer, or protection of customer information;
  • the Partner’s violation of applicable law;
  • infringement or alleged infringement of third-party rights by the Partner, its products, services, or Partner Content; or
  • the Partner’s material breach of these Partner Terms.

The fact that a customer discovered, contacted, or connected with a Partner through DubSuite does not transfer any responsibility or liability for the Partner’s acts, omissions, products, or services to DubSuite.
The Platform and Partner marketplace functionality are provided on an “as-is” and “as-available” basis.

To the fullest extent permitted by applicable law, DubSuite disclaims warranties regarding the Platform, Partner listings, customer inquiries, and transactions or relationships resulting from use of the Platform.

DubSuite makes no guarantee regarding uninterrupted Platform availability, continued publication of any listing, marketplace placement, customer demand, customer inquiries, commercial opportunities, or results from participation in the Platform.

DubSuite does not warrant, endorse, guarantee, certify, or assume responsibility for any Partner, Partner Content, product, service, consultant, firm, representation, or offer listed or made available through the Platform.
To the fullest extent permitted by applicable law, DubSuite assumes no responsibility or liability for any Partner or for any Partner’s products, services, acts, omissions, representations, commitments, performance, non-performance, negligence, misconduct, breach, or dealings with customers.

DubSuite’s role in listing a Partner, displaying Partner Content, transmitting a customer inquiry, facilitating discovery, or otherwise connecting a Partner with a customer does not constitute endorsement, certification, recommendation, representation, warranty, or assumption of responsibility by DubSuite.

The Partner remains solely responsible and accountable for its products and services and for all obligations, claims, losses, damages, liabilities, refunds, disputes, and other consequences arising from or relating to its dealings with customers.

DubSuite is not responsible or liable for any agreement, transaction, payment, implementation, service delivery, warranty, dispute, loss, damage, injury, data issue, security incident, or other matter arising between a Partner and customer.

To the fullest extent permitted by applicable law, DubSuite will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, business opportunity, data, goodwill, or anticipated savings arising from or relating to participation in or use of the Platform or any Partner product or service.

Nothing in these Partner Terms excludes or limits liability that cannot lawfully be excluded or limited.
DubSuite may update these Partner Terms from time to time to reflect changes in the Platform, marketplace model, business practices, or applicable requirements.

Updated Partner Terms will be published on DubSuite with a revised “Last Updated” date.

Where changes are material, DubSuite may require Partners to review and accept the updated Partner Terms before continuing to access Partner functionality.
These Partner Terms are governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict-of-law principles.

Any legal action or proceeding arising from or relating to these Partner Terms will be brought in the applicable state or federal courts located in Utah, unless otherwise required by applicable law.
These Partner Terms supplement the DubSuite Terms of Use and Privacy Statement.

If these Partner Terms conflict with the Terms of Use specifically concerning Partner participation, accounts, profiles, listings, products, services, or Partner activities, these Partner Terms will control with respect to that subject matter.
