These Terms of Use (“Terms”) govern your access to and use of the DubSuite website, marketplace, and related services (collectively, the “Platform”), operated by DubSuite LLC (“DubSuite,” “we,” “us,” or “our”).

About DubSuite
DubSuite is an independent online marketplace that enables businesses and individuals to discover and connect with third-party applications, software solutions, independent consultants, consulting firms, implementation providers, and related professional services offered by independent Partners (“Partners”).
DubSuite provides the Platform for discovery, listing, inquiry, and connection purposes.
Unless expressly agreed otherwise in writing, DubSuite does not develop, provide, sell, license, implement, support, warrant, or guarantee any product or service offered by a Partner.
DubSuite is an independent platform and is not affiliated with, endorsed by, sponsored by, or operated by Oracle Corporation or NetSuite.
DubSuite provides the Platform for discovery, listing, inquiry, and connection purposes.
Unless expressly agreed otherwise in writing, DubSuite does not develop, provide, sell, license, implement, support, warrant, or guarantee any product or service offered by a Partner.
DubSuite is an independent platform and is not affiliated with, endorsed by, sponsored by, or operated by Oracle Corporation or NetSuite.
Independent Partners and Third-Party Products and Services
All applications, products, consulting services, implementation services, professional services, and other offerings listed or made available through DubSuite (“Third-Party Products and Services”) are provided solely by independent Partners.
Partners are solely responsible and accountable for:
DubSuite does not endorse, certify, guarantee, or make representations or warranties regarding the quality, suitability, legality, security, reliability, availability, or performance of any Partner or Third-Party Product or Service.
The presence of a Partner or listing on DubSuite does not constitute endorsement, certification, approval, recommendation, sponsorship, or guarantee by DubSuite.
Partners are solely responsible and accountable for:
- their products and services;
- the accuracy and completeness of their listings and representations;
- product functionality and performance;
- implementation and service delivery;
- pricing and commercial terms;
- warranties, guarantees, and commitments;
- customer support;
- billing and collection;
- refunds and remedies;
- security and privacy practices;
- compliance with applicable laws and regulations; and
- any claims, losses, damages, complaints, or disputes arising from their products, services, acts, or omissions.
DubSuite does not endorse, certify, guarantee, or make representations or warranties regarding the quality, suitability, legality, security, reliability, availability, or performance of any Partner or Third-Party Product or Service.
The presence of a Partner or listing on DubSuite does not constitute endorsement, certification, approval, recommendation, sponsorship, or guarantee by DubSuite.
DubSuite Does Not Represent Either Party
DubSuite is a marketplace and connection platform only.
DubSuite does not act as the agent, representative, advisor, advocate, partner, employer, joint venturer, fiduciary, or other representative of any customer, prospective customer, or Partner.
Unless expressly agreed otherwise in writing, DubSuite is not a party to any purchase, subscription, license, consulting engagement, implementation, statement of work, contract, payment arrangement, or other agreement or transaction entered into between a customer and a Partner.
The fact that a customer discovers, evaluates, contacts, or connects with a Partner through DubSuite does not make DubSuite responsible or accountable for the Partner, the customer, or any resulting relationship, agreement, transaction, product, service, act, or omission.
Customers and Partners are solely responsible for negotiating, entering into, administering, performing, and enforcing their own agreements.
DubSuite does not act as the agent, representative, advisor, advocate, partner, employer, joint venturer, fiduciary, or other representative of any customer, prospective customer, or Partner.
Unless expressly agreed otherwise in writing, DubSuite is not a party to any purchase, subscription, license, consulting engagement, implementation, statement of work, contract, payment arrangement, or other agreement or transaction entered into between a customer and a Partner.
The fact that a customer discovers, evaluates, contacts, or connects with a Partner through DubSuite does not make DubSuite responsible or accountable for the Partner, the customer, or any resulting relationship, agreement, transaction, product, service, act, or omission.
Customers and Partners are solely responsible for negotiating, entering into, administering, performing, and enforcing their own agreements.
Customer Evaluation and Use at Your Own Risk
DubSuite provides access to information about Partners and Third-Party Products and Services as a convenience for marketplace discovery.
The decision to contact, engage, purchase from, subscribe to, install, implement, integrate, or otherwise use any Partner or Third-Party Product or Service is entirely at the customer’s own discretion and risk.
Customers are solely responsible for conducting their own independent evaluation and due diligence before entering into any relationship or transaction with a Partner.
Such evaluation may include reviewing:
DubSuite is not responsible for determining whether a Partner or Third-Party Product or Service is suitable for a customer’s particular requirements.
The decision to contact, engage, purchase from, subscribe to, install, implement, integrate, or otherwise use any Partner or Third-Party Product or Service is entirely at the customer’s own discretion and risk.
Customers are solely responsible for conducting their own independent evaluation and due diligence before entering into any relationship or transaction with a Partner.
Such evaluation may include reviewing:
- product functionality and compatibility;
- Partner qualifications, experience, and references;
- pricing and commercial terms;
- contractual terms;
- implementation requirements;
- warranties and service levels;
- security and privacy practices;
- regulatory or compliance requirements; and
- customer support arrangements.
DubSuite is not responsible for determining whether a Partner or Third-Party Product or Service is suitable for a customer’s particular requirements.
Marketplace Information and Partner Content
Partner profiles and listings may include information supplied directly by Partners, including company information, descriptions, pricing, capabilities, qualifications, certifications, logos, images, videos, product information, service information, and other materials (“Partner Content”).
Partners are solely responsible for the accuracy, completeness, legality, and currency of their Partner Content.
DubSuite may review, organize, categorize, format, moderate, approve, reject, suspend, or remove Partner Content, but such activity does not constitute verification, endorsement, certification, warranty, or assumption of responsibility by DubSuite.
DubSuite does not guarantee that Partner Content is accurate, complete, current, reliable, or suitable for any particular purpose.
Marketplace information is provided for informational and discovery purposes and should not be treated as professional, legal, financial, technical, security, procurement, or other advice from DubSuite.
Partners are solely responsible for the accuracy, completeness, legality, and currency of their Partner Content.

Customer Inquiries and Partner Connections
DubSuite enables users to submit inquiries, requests for information, or requests to connect with Partners.
When you submit an inquiry, information you provide may be shared with the applicable Partner so that the Partner can respond to your request.

Once information has been provided to an independent Partner, the Partner is responsible for its subsequent handling of that information in accordance with applicable law and its own privacy practices.

Submitting an inquiry does not:
- create a contract between you and DubSuite;
- create a contract between you and the Partner;
- require the Partner to accept an engagement;
- guarantee that the Partner will respond;
- guarantee the accuracy or suitability of the Partner;
- guarantee the availability of any product or service; or
- guarantee any transaction or commercial outcome.
Once information has been provided to an independent Partner, the Partner is responsible for its subsequent handling of that information in accordance with applicable law and its own privacy practices.

Accounts
Certain Platform functionality may require you to create or use an account.
You are responsible for:
You must promptly notify DubSuite if you become aware of suspected unauthorized access to or misuse of your account.
DubSuite may restrict, suspend, or terminate account access where reasonably necessary to protect the Platform, customers, Partners, DubSuite, or third parties.
Partners that create accounts, profiles, or listings are additionally subject to the DubSuite Partner Terms.
You are responsible for:
- providing accurate and current account information;
- maintaining the confidentiality and security of your account credentials;
- restricting unauthorized access to your account; and
- all activity conducted through your account.
You must promptly notify DubSuite if you become aware of suspected unauthorized access to or misuse of your account.
DubSuite may restrict, suspend, or terminate account access where reasonably necessary to protect the Platform, customers, Partners, DubSuite, or third parties.
Partners that create accounts, profiles, or listings are additionally subject to the DubSuite Partner Terms.
Acceptable Use
You may use the Platform only for lawful purposes and in accordance with these Terms.

- introduce malware, viruses, malicious code, or other harmful technology;
- circumvent or attempt to circumvent security or access controls;
- scrape, harvest, extract, copy, or collect Platform data through unauthorized automated means;
- infringe intellectual property, privacy, confidentiality, or other rights of DubSuite or any third party;
- misuse information obtained through the Platform;
- manipulate marketplace listings, rankings, reviews, search results, or functionality;
- use the Platform to transmit unsolicited or unlawful communications; or
- otherwise use the Platform in a manner that could reasonably harm DubSuite, customers, Partners, or third parties.
Transactions Between Customers and Partners
Any purchase, subscription, license, consulting engagement, implementation, statement of work, or other commercial relationship arising from a connection made through DubSuite is solely between the customer and the applicable Partner unless DubSuite expressly agrees otherwise in writing.
The Partner and customer are solely responsible for their respective obligations, including:
DubSuite does not control the development, operation, maintenance, security, availability, quality, or performance of independent Partner products or services.
Any claims, requests, complaints, or disputes concerning a Partner or its products or services must be addressed directly between the customer and Partner.
DubSuite has no obligation to participate in, mediate, administer, enforce, or resolve any such dispute.
The Partner and customer are solely responsible for their respective obligations, including:
- contractual terms;
- pricing;
- payments;
- taxes;
- product or service requirements;
- implementation;
- delivery;
- warranties;
- service levels;
- support;
- refunds;
- security and privacy obligations; and
- disputes.
DubSuite does not control the development, operation, maintenance, security, availability, quality, or performance of independent Partner products or services.
Any claims, requests, complaints, or disputes concerning a Partner or its products or services must be addressed directly between the customer and Partner.
DubSuite has no obligation to participate in, mediate, administer, enforce, or resolve any such dispute.
Third-Party Websites and Services
The Platform may contain links to Partner websites and other third-party websites, applications, services, or resources.
Third parties operate independently from DubSuite.
DubSuite does not control and is not responsible or liable for third-party websites, content, availability, privacy practices, security practices, products, services, terms, or transactions.
Access to and use of third-party websites or services are subject to the applicable third party’s own terms, policies, and practices.

Except as expressly permitted by DubSuite, you may not reproduce, modify, distribute, sell, license, publicly display, commercially exploit, or otherwise use DubSuite-owned intellectual property without prior authorization.
Partner names, logos, trademarks, product names, descriptions, images, and other Partner Content remain the property of their respective owners.
The display of third-party names, trademarks, logos, or materials on DubSuite does not imply ownership, affiliation, endorsement, certification, sponsorship, or recommendation by DubSuite.
NetSuite, Oracle, and related names, products, logos, and trademarks are the property of their respective owners. References to them on DubSuite are for identification, informational, compatibility, or marketplace-description purposes only and do not imply affiliation with, sponsorship by, or endorsement of DubSuite.

Platform Availability and Changes
DubSuite may modify, update, add, remove, suspend, or discontinue Platform functionality, marketplace categories, content, features, listings, or services from time to time.
DubSuite does not guarantee that:
DubSuite may perform maintenance and make changes necessary to operate, protect, develop, or improve the Platform.
DubSuite does not guarantee that:
- the Platform will always be available, uninterrupted, secure, or error-free;
- any particular functionality will remain available;
- any particular Partner or listing will remain on the Platform;
- marketplace information will always be complete, accurate, or current; or
- errors or technical issues will always be corrected immediately.
DubSuite may perform maintenance and make changes necessary to operate, protect, develop, or improve the Platform.
Suspension and Termination
DubSuite may restrict, suspend, or terminate access to the Platform where a user:
DubSuite may take immediate action where reasonably necessary to protect the Platform, customers, Partners, DubSuite, or third parties.
- violates these Terms;
- engages in fraudulent, unlawful, abusive, deceptive, or harmful conduct;
- creates a material security, privacy, legal, operational, or reputational risk;
- infringes the rights of DubSuite or another party;
- misuses Platform information or functionality; or
- otherwise materially compromises the integrity of the Platform.
DubSuite may take immediate action where reasonably necessary to protect the Platform, customers, Partners, DubSuite, or third parties.
No Warranty
THE PLATFORM, MARKETPLACE INFORMATION, PARTNER CONTENT, AND ACCESS TO THIRD-PARTY PRODUCTS AND SERVICES ARE PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DUBSUITE DISCLAIMS ALL WARRANTIES AND REPRESENTATIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, RELATING TO THE PLATFORM, PARTNERS, PARTNER CONTENT, AND THIRD-PARTY PRODUCTS AND SERVICES.
DUBSUITE DOES NOT WARRANT OR GUARANTEE:

- the outcome of any customer inquiry, transaction, engagement, or Partner relationship;
- uninterrupted, secure, or error-free operation of the Platform; or
- that any Partner, product, or service will meet a customer’s requirements or expectations.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DUBSUITE ASSUMES NO RESPONSIBILITY OR LIABILITY FOR ANY PARTNER OR FOR ANY PARTNER’S PRODUCTS, SERVICES, ACTS, OMISSIONS, REPRESENTATIONS, COMMITMENTS, PERFORMANCE, NON-PERFORMANCE, NEGLIGENCE, MISCONDUCT, BREACH, OR DEALINGS WITH CUSTOMERS.
DUBSUITE IS NOT RESPONSIBLE OR LIABLE FOR ANY AGREEMENT, TRANSACTION, PAYMENT, SUBSCRIPTION, LICENSE, IMPLEMENTATION, CONSULTING ENGAGEMENT, SERVICE DELIVERY, WARRANTY, REFUND, DISPUTE, LOSS, DAMAGE, DATA ISSUE, SECURITY INCIDENT, OR OTHER MATTER ARISING FROM OR RELATING TO A PARTNER, A THIRD-PARTY PRODUCT OR SERVICE, OR A RELATIONSHIP BETWEEN A CUSTOMER AND PARTNER.
DubSuite’s role in displaying a Partner or Partner listing, providing marketplace search or discovery, transmitting an inquiry, or connecting a customer and Partner does not constitute endorsement, certification, recommendation, representation, warranty, agency, or assumption of responsibility by DubSuite.
Customers acknowledge that any interaction, agreement, contract, purchase, engagement, implementation, or other transaction with a Partner is solely between the customer and that Partner.

- access to, use of, or inability to use the Platform;
- reliance on information available through the Platform;
- any Partner or Partner Content;
- any Third-Party Product or Service;
- any customer-Partner relationship or transaction; or
- any act or omission of a Partner or other third party.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
Indemnification
To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless DubSuite LLC and its affiliates, officers, directors, employees, representatives, and agents from and against third-party claims, liabilities, damages, losses, judgments, and reasonable costs and expenses arising from or relating to:
Partner indemnification obligations, including responsibility for claims arising from Partner products, services, conduct, customer relationships, and customer data, are further addressed in the DubSuite Partner Terms.
- your misuse of the Platform;
- your violation of these Terms;
- information or content you submit through the Platform;
- your violation of applicable law;
- your infringement or violation of another party’s rights; or
- your acts or omissions in connection with your use of the Platform.
Partner indemnification obligations, including responsibility for claims arising from Partner products, services, conduct, customer relationships, and customer data, are further addressed in the DubSuite Partner Terms.
No Endorsement, Certification, or Affiliation
The inclusion, ranking, categorization, featuring, publication, or display of a Partner, application, consultant, consulting firm, product, or service on DubSuite does not constitute endorsement, certification, approval, sponsorship, recommendation, warranty, or guarantee by DubSuite unless expressly stated otherwise in writing.

Entire Agreement
These Terms, together with the DubSuite Privacy Statement and any other terms or policies expressly applicable to your use of the Platform, constitute the applicable agreement between you and DubSuite regarding your use of the Platform.
Partners are additionally subject to the DubSuite Partner Terms. If the Partner Terms conflict with these Terms specifically regarding Partner participation, accounts, listings, products, services, or Partner activities, the Partner Terms will control with respect to that subject matter.
